Exercise of overallotment option and end of the stabilisation period
Skandinaviska Enskilda Banken AB (publ) (”SEB” or ”Global Coordinator”) exercises the overallotment option regarding 446,611 shares in Actic Group AB (publ) (“Actic” or the “Company”). The stabilisation period has now ended and no further stabilisation measures will be effected.

According to the announcement in connection to the offer to acquire shares in Actic and the listing of the Company’s shares on Nasdaq Stockholm (the “Offering”) the Global Coordinator may effect transactions on Nasdaq Stockholm aimed at supporting the market price of the shares at levels above or at the same level as those which might otherwise prevail in the open market.
Such stabilisation transactions have been possible to effect at any time during the period that started on the date of commencement of trading in the share on Nasdaq Stockholm 7 April 2017 and ended 30 calendar days thereafter (the “Stabilisation Period”), which means that the last trading day on which stabilisation was possible to be affected was 5 May 2017 and thus the Stabilisation Period has ended. No transactions have been effected at levels above the price in the Offering.
In order to cover possible overallotments, Actic International S.à r.l. (the “Principal Owner”) further undertook, at the request of the Global Coordinator, to sell additional shares corresponding to a maximum of 15 percent of the number of shares comprised by the Offering (the “Over-Allotment Option”), entailing a maximum of 1,287,128 shares, at the price per share in the Offering which was SEK 50.50. The Over-Allotment Option has been possible to exercise in full or in part during the Stabilisation Period. Global Coordinator now notifies that the Over-Allotment Option with respect to 446,611 existing shares has been exercised. Consequently, 840,517 shares which the Global Coordinator have lent from the Principal Owner in order to cover overallotment in connection with the Offering will be re-delivered.
The Stabilisation Period regarding the Offering has now ended and no further stabilisation transactions will be effected. SEB, as Global Coordinator, announces that stabilisation measures have been undertaken in accordance with article 5(4) in the Market Abuse Regulation 596/2014 as specified below.
