Disclosure of large shareholding

On behalf of FMR LLC, the "Investment Manager") we
hereby notify you pursuant to STA Chapter 4, Section
4-1 the following:
On 25 May 2012 the shares and rights to shares in BW
Offshore Limited (the "Company") attributable to the
Investment Manager fell below the threshold of 10%.
The threshold was crossed by means of sales of
197,155 shares.
As a consequence, the total shareholding deemed to be
held is 68,675,311 which represents 9.98% of the
shares outstanding and voting rights of the Company.
