Final approval of intra-group merger

Reference is made to the announcement on 21 December 2018. The board of directors of

DNB Bank ASA, org.nr 984 851 006 ("DNB Bank") and DNB Næringskreditt AS ("DNB Næringskreditt ") has made its final decisions to merge the companies.

The merger is an intra-group merger pursuant to Section 13-24 of the Public Limited Companies Act. Completion of the merger is conditional upon the approval from the Norwegian Ministry of Finance or the Norwegian Financial Authorities and that any objections from creditors have been clarified pursuant to the Public Limited Companies Act. The merger is expected to enter into force prior to 31 December 2019.
