Publication of Prospectus
As previously announced, Dolphin Group ASA (the “Company”) has carried out a private placement of 70,000,000 new shares directed towards professional Norwegian and international investors and primarily towards existing shareholders in the Company for gross proceeds of NOK 143,500,000 (the "Private Placement").
The Norwegian Financial Supervisory Authority (Nw. Finanstilsynet) has approved the prospectus of the Company dated 12 June 2015 (the "Prospectus"), for the listing of the 70,000,000 new shares in the Company, each with a nominal value of NOK 2.00 issued in the Private Placement.
The Prospectus will be available at the following websites: www.dolphingeo.com and www.arcticsec.no. Hard copies of the Prospectus may be obtained by contacting Arctic Securities AS (+47 21 01 30 40).
The new shares were delivered to the investors in the Private Placement on 29 May 2015 and registered on a separate ISIN in anticipation of the approval and publication of the Prospectus. On 15 June 2015, the new shares will assume the ordinary ISIN of the Company's shares, ISIN NO001 017 0921, and be tradable on Oslo Børs under the Company's trading symbol "DOLP".
On 15 May 2015 the extraordinary general meeting of the Company granted the board of directors with authority to increase the share capital of the Company through the issuance of up to 7,000,000 new shares by way of a repair issue. Since then, the share price has gone and stayed below the subscription price of NOK 2.05. The board of directors are therefore still contemplating whether or not the repair issue should be completed.
