Balder investigates the opportunities in the European capital market and plans the retiring of preference shares

Balder has engaged Deutsche Bank, Handelsbanken, Nordea and SEB to investigate the conditions for two new capital market issues. The issues consist of a senior unsecured issue of EUR 500 million and a hybrid capital security of approximately EUR 350 million, which is planned to be sold in Euros and/or Swedish kronor.

The contemplated issuance of Hybrid Notes would further support Balder’s solid investment grade ratings due to its subordination to other financial liabilities and 50 % valuation as equity capital by both rating agencies, Moody’s and S&P. The rating of the planned Hybrid Notes is expected to be two steps below the company rating, as is typical for this type of instrument

Provided that the hybrid issue is executed, Balder plans to retire all outstanding preference shares. The reason for replacing the preference shares with hybrids is because they receive a more favourable treatment from the rating institutions, improve cash flow and increase financial flexibility.
