Link Mobility Group ASA - Status M&A processes

References are made to the stock exchange notice earlier today, 10 July 2018, and on 2 July 2018 regarding the recommended voluntary cash offer to acquire all shares in Link Mobility Group ASA (the “Company”) by Victory Partners VIII Norway AS (the “Offer”).

References are further made to the stock exchange notices made by the Company on (i) 30 April 2018 regarding signing of term sheets for acquisition of two European messaging companies in UK and France, (ii) 17 April 2018 regarding signing of term sheet for the acquisition of the Hungarian mobile messaging company Dream Interactive Ltd. (operating under the name SeeMe) and (iii) 26 February 2018 regarding signing of term sheet for the acquisition of South-Eastern European mobile messaging activities currently owned by Allterco JSCo and operated by Tera Communications AD, Teravoice EAD, Allterpay EOOD, Teracomm RO SRL and Tera Communications DOOEL (together the "Teracomm Companies") (together the “Signed Term Sheets”).

As a result of the Offer and the restrictions on the Company’s freedom of action during the Offer as set out in clause 6-17 of the Norwegian Securities Trading Act, the Company will not be in a position to finalize binding agreements under the Signed Term Sheets until the Offer has been closed or aborted. Consequently, the Offer will therefore result in a postponement of the respective time tables previously communicated for the Signed Term Sheets. The Company intends to continue pursuing binding agreements under the Signed Term Sheets upon closing of the Offer.
