CONVERSION PRICE AS WELL AS SUBSCRIPTION PRICE FOR NEW SHARES SUPPORTED BY WARRANTS FIXED REGARDING SUBORDINATED DEBENTURE ISSUE IN OBDUCAT AB

The board of directors in Obducat AB (publ) has now fixed the conversion price for the subordinated debenture issue 2004/2007 which, in accordance with previously announced resolution at the extraordinary general meeting on February 9, will be issued in March 2004.

The conversion price has been fixed at SEK 2,15. This price shall also, in accordance with the debenture issue terms and conditions, be fixed as the subscription price for shares issued on basis of the detachable warrants related to the debentures to be issued.

Following the debenture issue terms and conditions, the above mentioned conversion and subscription prices, respectively, are to be fixed in the interval of 50 %-120 % of the average exchange quotation of the company’s series B shares at the NGM during the period commencing February 10, 2004 up to and including February 17, 2004. This average quotation has now been calculated at SEK 4,29. The as per above fixed price (SEK 2,15) consequently corresponds to just above 50 % of the calculated average quotation.

“The board of directors has chosen to fix a conversion and subscription price aiming at creating as favorable conditions for a high subscription ratio in the upcoming issue as possible. With the prices now being established, the board judges that the issue offer will be viewed attractive and thus could provide resources for continued growth”, says Peter Jonsson, Chairman of the board in a first comment.

Record day of the issue is March 3, 2004 and the subscription period extends between March 12-26, 2004.
