The Mats Paulsson Family’s ownership in Peab

The Mats Paulsson Family* has informed Peab AB that during the spring and summer of 2017 it intends to combine its indirect holdings in Peab and take the first steps to transfer ownership to the next generation.

The Mats Paulsson Family has further provided the following information:

Mats Paulsson’s indirect holdings in Peab will be transferred to a holding company “Holding Company” owned by the family which will be controlled by Mats Paulsson’s son Fredrik Paulsson. The Holding Company will also acquire Fredrik Paulsson’s indirect holdings in Peab as well as the indirect holdings in Peab left to his heirs by Mats Paulsson’s deceased son Stefan Paulsson. Combining these holdings will not entail any change in the total ownership of the family in the company.

The Holding Company will directly and indirectly own shares equal to 48.2 % of the total number of votes and 20.86 % of the capital.

In the future the Mats Paulsson Family may also transfer its directly owned shares in Peab equal to 9.26 % of the total number of votes and 4.51 % of the capital to the Holding Company.

The Securities Council has given its approval for an exception to the mandatory bid for the planned transactions and next generation transfer.

*Defined as Mats Paulsson, Mats Paulsson’s son Fredrik Paulsson with family, and Mats Paulsson’s deceased son Stefan Paulsson’s heirs.
