Q-FREE- INCREASE IN SHARE CAPITAL

Trondheim/Oslo, 26 March 2015: The Board of Directors of Q-Free ASA approved in a Board meeting 25 March 2015 to increase the share capital with NOK 483,515.80. The increase in the share capital is carried out according to proxy by issuance of 1,272,410 new shares with a par value of NOK 0.38.

The share capital will increase from NOK 26,143,293.96 to NOK 26,626,809.76 after the share capital increase has been registered in Foretaksregisteret (The Norwegian Company Register).

The increase in the share capital is approved in relation to the earn-out elements of the acquisitions of Traffic Design in Slovenia (reference to stock exchange announcement dated 23 April 2014), and T.D.C. Systems in the UK and Australia (reference to stock exchange announcement dated 27 March 2014).

A new press release will be published when the share capital increase has been registered in Foretaksregisteret.
