Rottneros AGM 2011

Rottneros AB’s AGM took place on Tuesday, 19 April 2011 at 10.00 at the hotel Selma Spa, Sundbergsvägen 3 in Sunne, Sweden.

Adoption of balance sheet and income statement

The AGM confirmed the adopted balance sheets and income statement for the parent company and the Group for the 2010 operating year.



The AGM approved the proposed dividends to shareholders of SEK 0.20 per share. Tuesday, 26 April 2011 was fixed as the record day for dividends. In order to be entitled to a dividend the shareholder must have held the share on the date of the AGM, Tuesday, 19 April 2011.



The AGM granted members of the Board and the President a discharge from liability for the 2010 operating year. Ordinary board members Roger Asserståhl, Kjell Ormegard, Bengt Unander-Scharin and Ingrid Westin Wallinder were re-elected.

The AGM re-elected Kjell Ormegard as Chair of the Board.


Remuneration for members of the Board

The AGM decided in accordance with the Nominating Committee’s proposal.


Nominating Committee

The AGM also approved the proposed procedure for appointing members of the Nominating Committee and the mandate of the Nominating Committee.



The AGM decided to appoint Öhrlings PricewaterhouseCoopers AB as auditor for one year.


Guidelines for remuneration

In accordance with the proposal of the Board, the AGM approved guidelines for remuneration and other conditions of employment for senior executives.
