SBB i Norden AB (publ) announces final result from the written procedure re vote for a change of issuer of the outstanding notes with symbol SBBIN 002

SBB i Norden AB (publ) (the ”Company” or ”SBB i Norden”) initiated on 9 January 2018 a so called “Written Procedure”, with the purpose to decide on a change of issuer of the Company’s senior unsecured and guaranteed notes of up to SEK 1 500 000 000 with ISIN SE0009805468 and symbol SBBIN 002 (the ”Notes”) in accordance with the terms and conditions dated 29 March 2017 (the ”Terms and Conditions”) and to make certain amendments to the Terms and Conditions in order to reflect such change of issuer. The proposed change of issuer implies that the Company’s parent, Samhällsbyggnadsbolaget i Norden AB (publ), replaces the Company as issuer of the Notes.

Noteholders with a sufficient number of votes has, in accordance with the summons, given formal notice in order to form a quorum. The Company can announce that the written procedure was closed 23 January 2018, since a requisite majority of the Noteholders have consented to the proposals presented in the summons to the written procedure (the “Consent”).

The Consent entered into force as of 23 January 2018. The change of issuer will not be effective until the Company’s outstanding notes with symbol SBBIN 001 has been redeemed or repaid in full, and Samhällsbyggnadsbolaget i Norden AB (publ) enters as issuer of the Notes and the Terms and Conditions reflects such change of issuer. The Company’s outstanding notes with symbol SBBIN 001 falls due for final repayment on 23 June 2018.
