TalkPool gets a new major shareholder

TalkPool today announces that the private investor Ludwig Fresenius has entered into an agreement with Magnus Sparrholm and Erik Strömstedt to acquire and subscribe for 500,000 subscription rights in the upcoming right issue, of which 380,000 are sold by Magnus Sparrholm and 120,000 are sold by Erik Strömstedt. In total, the investment in TalkPool based on subscription rights will amount to SEK 5,500,000.
In addition, Ludwig Fresenius has announced commitment to subscribe for another 227,273 shares in the rights issue corresponding to approximately SEK 5,000,000. Ludwig Fresenius will invest a total of SEK 11,000,000 of which SEK 10,500,000 in TalkPool and SEK 500,000 for subscription rights to Magnus Sparrholm and Erik Strömstedt. The entire amount will be paid in advance and no interest will be paid.
After the sale, Magnus Sparrholm and Erik Strömstedt will have 1,060,000 and 142,545 subscription rights in the upcoming rights issue. Magnus Sparrholm commits to execute all his 1,060,000 subscription rights, and thereby aiming to own a total of 1,500,000 shares after the emission.
Ludwig Fresenius previously owns 30,000 shares in TalkPool, bought in June 2017 from Magnus Sparrholm in a block trade through Swiss Finance Boutique. Ludwig Fresenius and Swiss Finance Boutique intend to strengthen the founding entrepreneur Magnus Sparrholm’s controlling position in TalkPool.
