TDC : Major shareholder announcement regarding TDC A/S

In accordance with Section 29 of the Danish Securities Trading Act, cf. the
Danish Executive Order no. 668 of 25 June 2012 on major shareholders, it is
hereby announced that Massachusetts Financial Services Company has informed TDC
that on 27 November 2012 Massachusetts Financial Services Company acquired
shares in TDC in excess of 5% of the share capital and voting rights. 



Massachusetts Financial Services Company holds 43,963,134 shares of a nominal
value of DKK 1 (aggregate nominal value DKK 43,963,134) in TDC, corresponding
to 5.33% of the total share capital and of the total voting rights. The shares
are owned directly.
