XVIVO intends to undertake a private placement of shares

June 25, 2014, Göteborg, 5:31 p.m. – Xvivo Perfusion AB (publ) (“Xvivo” or the “Company”) (NASDAQ OMX First North: XVIVO), announces its intention to undertake a private placement of shares.

Xvivo intends to offer shares in a private placement, in order to raise gross proceeds of up to SEK 50 million (the “Private Placement”). The Private Placement is directed to Swedish and international qualified investors. The Company retains the right in its sole discretion to increase the size of the private placement within the current board authorization given by the general meeting held on 29 April 2014 to an aggregate of 1,950,000 shares. In case the right to increase the size of the Private Placement is fully exercised, the gross proceeds will correspond to SEK 70 - 75 million.

The subscription price for the shares in the Private Placement will be determined in a book-building process that will begin no earlier than 17:31 (CET) on June 25, 2014, and end before the commencement of trading on NASDAQ OMX First North on June 26, 2014. The order period for the Private Placement may close earlier at the discretion of the Company.

Payment for the shares shall be made in cash. The reason for deviating from the shareholders’ preferential rights by conducting a directed new share issue is that the board of directors believes that it is beneficial for the Company and its shareholders to seize this opportunity to raise additional capital on attractive terms, thus facilitating a faster built up of the Company’s working capital for the U.S. and European launch of the XPS and STEEN Solution, as well as a higher pace of investment into new indications. 

The Private Placement is subject to the board of directors of Xvivo resolving on the new issue of shares. The Board of Directors can choose to cancel the book-building in its sole discretion for any reasons and can refrain from continuing with the Private Placement.

Pareto Securities AB (”Pareto Securities”) has been appointed as sole bookrunner and lead manager in connection with the Private Placement.
