AcadeMedia’s CEO has acquired synthetic options relating to AcadeMedia and will divest part of his shareholding

The Board of Directors in AcadeMedia AB (publ) has been informed by the company’s principal shareholder Mellby Gård AB that the CEO of AcadeMedia, Marcus Strömberg, has acquired synthetic options relating to AcadeMedia issued by Mellby Gård. Marcus Strömberg will divest 150,000 shares to Mellby Gård at a price of SEK 83.07 per share to finance the cost for acquiring the synthetic options among other things. AcadeMedia AB has not been involved in the offer to acquire options provided by Mellby Gård to AcadeMedia’s CEO.

Mellby Gård has offered AcadeMedia’s CEO, Marcus Strömberg, to acquire synthetic options relating to AcadeMedia issued by Mellby Gård. Marcus Strömberg has acquired 287,357 synthetic options at a price corresponding to the market value of the options, which has been calculated to SEK 1.5 million.

Marcus Strömberg will divest 150,000 shares to Mellby Gård at a price of SEK 83.07 per share to finance, among other things, the cost for acquiring the synthetic options.

The capital that will be released at the share divestment after tax will, in addition to the reinvestment in AcadeMedia, be used to repay debt from previous share acquisitions and to purchase a private home, says Marcus Strömberg, CEO of AcadeMedia.

Additional changes to CEO Marcus Strömberg’s holding in AcadeMedia

In conjunction with the publication of AcadeMedia’s quarterly report for the second quarter 2020/21, the share matching plan 2017 (AMP 2017) expired and the first subscription period for AcadeMedia’s warrant program 2017 opened. Both programmes have been running since the 2017 Annual General Meeting. Due to these events, the following changes have taken place:

  • AcadeMedia’s CEO will increase his number of shares by 7,673 ordinary shares following the end of the share matching plan.
  • AcadeMedia’s CEO divested 52,500 warrants at a price of 14.04 SEK per warrant. Mellby Gård, the principal owner, acquired all warrants.

After these transactions, AcadeMedia’s CEO will have the following holding in AcadeMedia

  • 153,521 shares
  • 100,000 synthetic options issued by Mellby Gård 2018
  • 287,357 synthetic options issued by Mellby Gård 2021

All calculations are done in accordance with market-based principles.

Facts: the synthetic options issued by Mellby Gård 2021
The synthetic options are related to AcadeMedia’s ordinary share with a maturity of just over two years. The options can be exercised during the period February – October 2023. The exercise price per option is SEK 95, which corresponds to 115 percent of the volume-weighted price paid for AcadeMedia’s ordinary share on Nasdaq Stockholm during the period 8-12 February 2021. When exercising the option, the option holder will receive a cash payment from Mellby Gård corresponding to the market value of the ordinary share reduced by the exercise price, however, no more than SEK 25 per option. The option holder will not receive any cash payment if the market value is less than the exercise price. The Board of Directors in AcadeMedia has been informed about this offer to the CEO of AcadeMedia, in accordance with current regulation.
