Subscription to the 2019 Convertible Debenture Program for Key Staff Completed

On 15 May 2019, the annual general meeting adopted a convertible debenture program for key staff in ÅF Pöyry. The subscription has now been completed and amounts to SEK 171 400 000 at a conversion price of SEK 232,10 per share.

Full conversion will increase the share capital by SEK 1 845 862,50 and the number of shares by 738 345. This corresponds to a dilution equivalent to approximately 0,65 percent of the capital and approximately 0,49 percent of the votes.

In accordance with the resolution of the general meeting, the dilution will be offset by a repurchase and reduction of share capital by withdrawal of shares corresponding to the subscribed amount. These measures shall be completed before the annual shareholders meeting 2020.
