Ahlstrom-Munksjö announces intent for optional redemption of its senior unsecured notes due 2022 and its hybrid capital securities

AHLSTROM-MUNKSJÖ OYJ, STOCK EXCHANGE RELEASE, February 19, 2021 at 13:20 EET

Ahlstrom-Munksjö Oyj ("Ahlstrom-Munksjö") announced on February 5, 2021 that a Change of Control Event, as defined in the terms and conditions (the "Terms and Conditions") of its senior unsecured notes due June 9, 2022 (ISIN: FI4000261235) (the "Notes"), had occurred. Ahlstrom-Munksjö has today decided that it intends to exercise its optional redemption right in respect of its Notes in accordance with Condition 8 (Optional Redemption (call option)) of the Terms and Conditions to the extent the mandatory redemption right in respect of the Notes related to the Change of Control Event is not exercised by the relevant holders. The Notes are listed on the official list of Nasdaq Helsinki Ltd.

The total nominal amount of the Notes is EUR 250,000,000. The redemption date and the Make-Whole Redemption Amount (as defined in the Terms and Conditions) will be announced at a later date.

Ahlstrom-Munksjö has further decided that it intends to exercise its redemption right in respect of its EUR 100 million capital securities issued on December 13, 2019 (the "Capital Securities") in accordance with Clause 7.7 (Change of Control) of the terms and conditions of the Capital Securities. Ahlstrom-Munksjö will deliver a separate notice of a change of control event to the holders of the Capital Securities in accordance with, and within the timeframe set out in, the terms and conditions of the Capital Securities.
