On 15 December 2017, Akademibokhandeln Holding AB (publ) (the “Company”) sent a press release regarding voluntary prepayment for the calendar year 2017 to all Bondholders of the Company’s maximum SEK 700,000,000 senior secured callable floating rate bonds with ISIN SE0009690084 (the “Bonds”) in accordance with Clause 9.3 of the terms and conditions for the Bonds (the “Terms and Conditions”). The press release did further contain information that the Company is contemplating to also make use of its right to make a partial repayment of Bonds in accordance with Clause 9.3 of the Terms of Conditions for the calendar year 2018 which, in such case, will occur at the earliest during the second financial quarter of 2018.

Although still of the opinion of having the right to make a partial repayment in accordance with Clause 9.3 for the calendar year 2018, the Company has decided not to make use of that right after having received feedback from investors. The Company and its owner, Volati AB (publ), have a long-term view of the newly established presence and activity on the bond capital markets and hence, have been willing to accommodate investors’ interests. For avoidance of misunderstandings, the partial repayment for the calendar year 2017 announced on 15 December 2017 and with repayment on 12 March 2018, is not affected by the above.

In addition to the above, the Company reiterates its continued interest to repurchase Bonds, in the market or in any other way, at an initial price not exceeding 106.80 per cent. of the outstanding nominal amount of each Bond together with accrued but unpaid interest up until the relevant settlement date. The repurchase price included in the Company’s declaration of interest to repurchase Bonds will be adjusted downwards on a linear basis to 103.00 per cent. on 10 March 2019. The described declaration of interest shall not constitute an offer to purchase or sell financial instruments. The Company retains the right, in its sole discretion, to not repurchase any Bonds.
