Reference is made to previous stock exchange announcements regarding the merger of BRAbank ASA (BRAbank) and Monobank ASA (the Company), with the Company as the surviving entity.

The merger has now been registered with the Norwegian Register of Business Enterprises.

The registration implies that all assets, rights and obligations of BRAbank have been transferred into the Company and BRAbank has been liquidated and deleted from the Norwegian Register of Business Enterprises.

At the same time, the Company's name has been changed to BRAbank ASA.

The new share capital of the Company is NOK 447 393 023 divided on 447 393 023 shares each with a nominal value of NOK 1.

The private placement of approx. NOK 37.2 million offered to the largest shareholders in BRAbank at NOK 1.90 per share prior to announcement of the merger (Private Placement II) will be completed as soon as possible.

The subscription period in the private placement of approx. NOK 5 million towards existing BRAbank shareholders as at 7 February 2019 as registered in the VPS on 11 February 2019 who were not invited to participate in Private Placement I or Private Placement II (Private Placement III) and the private placement of up to approx. NOK 30 million towards existing Monobank ASA shareholders as at 7 February 2019 as registered in the VPS on 11 February 2019 (Private Placement IV) will commence after announcement of the Company's 2019 Half-yearly report scheduled to 21 August 2019. The subscription price in Private Placement III and Private Placement IV will be NOK 1.90 per share.
