Communique from extraordinary shareholders meeting in Camanio Care AB (publ)

Extraordinary shareholders’ meeting has been held in Camanio Care AB (publ), organizational number 556761–0307, on Monday October 14, 2019, where the following decisions were made.

The shareholders meeting decided to approve the sale of the present operations to the subsidiary company Camanio AB. This means that all the assets and debts of Camanio Care AB will be consolidated in Camanio AB. 

The shareholders meeting also decided the sale of all the shares in the subsidiary company Camanio AB to Brighter AB (publ) for 17 million SEK, to be paid in shares of Brighter. 

After this has been done, Camanio Care AB will no longer be performing its original operations, and for this reason among others, the shareholders meeting decided to approve new articles of association. In the new articles, it is stated that the mission of the company is to own and administer fixed and movable assets as well as consult in economy and finance, and other compatible activities. 

In addition, it was decided to change the share capital from a lowest 4,000,000 SEK and a highest 16,000,000 SEK, to a lowest 10,720,000 SEK and a highest 42,880,000 SEK, and to change the number of shares from a lowest 20,000,000 shares and a highest 80,000,000 shares, to a lowest 53,600,000 shares and a highest 214,400,000 shares.

The shareholders’ meeting elected Truls Sjöstedt and Erik Domajnko to members of the board of directors in Camanio Care AB. Marianne Ramel and Johanna Rastaad withdrew from the board of directors.
