DOF - Agreements with Aker DOF Supply AS and Aker Solutions AS

DOF's 51 % owned daughtercompany DOF Subsea AS have sold its 21,3 % share in Aker Oilfield Services to Aker Solutions AS for NOK 277 million. DOF Subsea's will book a gain of approx. NOK 190 million. Included in the transaction is a NOK 23 million shareholders' loan being transferred to Aker Solutions AS. NOK 200 million of the purchase sum is due for payment upon completion of the transaction. NOK 100 million will fall due on 20 December 2009.

The comprehensive cooperation between Aker Oilfield Services and DOF will continue.

DOF has agreed to purchase a newbuilding contract for a large PSV of Aker PSV 09 design from Aker DOF Supply AS (ADS). The vessel is under construction at the Cochin yard in India. Contractual delivery date for the vessel is September 2010. The building contract is transferred at cost. DOF owns 50 % of the shares in ADS. Aker Marine Contractors (AMC) will become DOF's partner in ADS. It has been agreed to change the name of ADS to Aker DOF Deepwater AS and use the company as a vehicle to join forces in the pre set mooring market.
