Shareholders' Nomination Board of Fellow Finance proposes composition of the Board of Directors
FELLOW FINANCE PLC COMPANY ANNOUNCEMENT 13.1.2021 AT 2:00 PM
The Nomination Board of Shareholders of Fellow Finance prepares proposals for the Annual General Meeting and, if necessary, for the Extraordinary General Meeting, concerning the election and remuneration of the members of the Board of Directors.
According to the procedure of the Nomination Board, each of the four largest shareholders of Fellow Finance appoint a member to the Nomination Board. Being entitled to appoint a member is based on Fellow Finance Shareholder Register maintained by Euroclear Finland Ltd. on the first working day of September each year. The current members are Karri Haaparinne appointed by Taaleri Plc, Teemu Nyholm appointed by TN Ventures Oy, Harri Tilev, appointed by Oy T&T Nordcap Ab and Vesa Vanha-Honko appointed by OP-Suomi Mikroyhtiöt -Erikoissijoitusrahasto. In addition, Kai Myllyneva, the Chairman of the Board of Directors of Fellow Finance, serves as an expert in the Nomination Board without being a member.
Nomination Board proposes
The Nomination Board proposes to the Annual General Meeting of Fellow Finance to be held on March 31, 2021 that the number of members of the Board of Directors be set at five (5).
The Nomination Board proposes that Kai Myllyneva, Harri Tilev, Michael Schönach, Karri Haaparinne and Tero Weckroth will be elected as members of the Board of Directors for the term ending until the end of the next Annual General Meeting. The Nomination Board also proposes that Kai Myllyneva serve as Chairman of the Board. Of the proposed individuals, Myllyneva and Tilev are members of the current Board.
All persons nominated as members of the Board have given their consent to the election.
All proposed Board members have been assessed to be independent of the company. In addition, all proposed Board members, except for Karri Haaparinne, are estimated to be independent of the company's significant shareholders. Regarding Karri Haaparinte, it has been estimated that he is dependent on the company's significant shareholder Taaleri Plc.
