LeadDesk strengthens its offering by acquiring Nordcom Oy

LeadDesk Oyj (”LeadDesk”, ”Company”) is purchasing the entire share capital of Nordcom Oy. The acquisition will strengthen LeadDesk’s competitiveness, as the Company is able to offer more comprehensive solutions for even larger businesses and public institutions. The acquisition does not impact the previously released forecasts for 2020. 

 

Nordcom’s turnover during the fiscal year ending in February 2020 was €855,000 and their operating profit was approximately €22,000. Nordcom employs seven people, all of whom will change over to LeadDesk as old employees. Nordcom Oy’s total assets were €177,000, equity €81,000 and equity ratio 46% according to the balance sheet of the fiscal year ending February 29, 2020.

The purchase price of €500,000 will be paid at the time of implementation, estimated to be July 1, 2020. Out of the total price, €200,000 will be paid in cash considerations and €300,000 with a private offering of 29,126 shares to the sellers. The issue price of the shares is €10.30 and is based on the average stock price between March 26–June 24, weighted with transaction volume. At the time of implementation, the new shares constitute approximately 0.6% of LeadDesk Oyj’s outstanding shares. The cash consideration will be paid from the Company’s cash assets. Nordcom will be reported as part of the LeadDesk group starting from July 1, 2020. In addition, LeadDesk can pay up to €200,000 in additional compensation one year after the time of implementation, if certain conditions are met.

LeadDesk provides its cloud-based customer service and sales software through a SaaS-model. LeadDesk's business is international and fast-growing, and the company has grown to be the leading software provider in it's field in the Nordics. Over the course of its ten-year history, LeadDesk has proved the success of the company’s business model in Finland and scaled it to six other European countries. With the acquisition of Nordcom, LeadDesk is now capable of serving even larger customers in the Company’s most advanced markets i.e. Finland, Sweden and the Netherlands.

Forecast for 2020 unchanged

The Company will maintain strong comparable revenue growth and continue operating profitably. LeadDesk’s goal is to distribute dividends in the mid to long term.
