Information Memorandum – Cross border merger

Please find attached an Information Memorandum which has been prepared in connection with the re-domiciliation to Cyprus.

The move is formalised through a cross-border merger between Petrolia ASA and Petrolia E&P Holdings Plc.

This Information Memorandum has been prepared to comply with the Norwegian Securities Trading Act. This Information Memorandum has been submitted to Oslo Stock Exchange for inspection before it was published.

This Information Memorandum is not a prospectus and has neither been inspected nor approved by the Oslo Stock Exchange in accordance with the rules that apply to prospectuses.

The Information Memorandum has been prepared solely in the English language.
