Beslut om namnbyte och ändring av bolagsordning / Decision on name change and change of Articles of Association

Mot bakgrund av den fortsatta Covid-19 pandemin genomfördes den extra bolagsstämman enligt ett så kallat poströstningsförfarande, enligt § 20 i lagen (2020:198) om tillfälliga undantag för att underlätta genomförandet av bolags- och föreningsstämmor. Aktieägarna deltog i den extra bolagsstämman genom att i förväg rösta på förslagen.

Till följd av Industrial Solar Holding Europe ABs förvärv av SolarSpring GmbH under 2020 så överensstämmer inte längre bolagsnamnet med bolagets affärsmodel. Stämman beslutade därför att det nya namnet ska vara Clean Industry Solutions Holding AB. Namnbytet kommer att genomföras efter att det registrerats av bolagsverket.

Stämman beslutade även om byte av bolagets säte från Härnösands kommun till Stockholms kommun.

Stämman beslutade att bolagsordningen skulle ändras in enlighet med ovan.

Ett separat pressmeddelande med mer information om namnbytet kommer att publiceras efter registreringen.

Given the continued Covid-19 pandemic, the extraordinary general meeting was held according to a so-called postal voting procedure, in accordance with section 22 of the Act (2020:198) on temporary exceptions to facilitate the execution of general meetings in companies and other associations. Shareholder participated in the extraordinary general meeting by voting in advance. 

As a result of Industrial Solar Holding Europe AB's acquisition of SolarSpring GmbH in 2020, the company’s name no longer corresponds with the company's business model. The EGM therefore decided that the new name should be Clean Industry Solutions Holding AB. The name change will be carried out after it has been registered by the Swedish Companies Registration Office.

The EGM also decided to change the company's registered office from Härnösand municipality to Stockholm municipality.

The EGM decided that the Articles of Association should be amended accordingly.

A separate press release with more information about the name change will be published after the registration.
