LETTER TO SIMTRONICS ASA’S SHAREHOLDERS

To shareholders in Simtronics,

Recently Simtronics announced a deal with HitecVision, in which Simtronics acquires Technor. This transaction will be treated at the upcoming Extraordinary General Meeting on 4 May.

In parallel with these events, US conglomerate UTC through its Norwegian subsidiary Autronica has acquired a 20.6 per cent shareholding in Simtronics. UTC has not disclosed its intention with the share purchase nor its view on the Technor transaction.

The Board and Management of Simtronics believe that a merger with Technor is the best solution for our shareholders – both from an industrial perspective, but also in ROI terms. However, it is important that as many shareholders as possible support the deal at the upcoming General Meeting in order to achieve the necessary two thirds of the votes required by the law. With 20.6 per cent of the votes and limited turnout from other shareholders, there is a high chance that UTC, if they want to, could block the merger with Technor.

On this background the Board and Management of Simtronics urge shareholders to support the Technor transaction at the Extraordinary General Meeting on 4 May. Voting by proxy is an option. Proxy’s can be given to the Company’s Chairman or CEO.

Proxy votes can be forwarded by e-mail or fax to Simtronics as soon as possible and no later than 30 April, Oslo 16.00 local time.

Please note that a proxy can be withdrawn at any time up until the date of the General Meeting.
