NOMINATION OF NEW BOARD MEMBERS

As previously announced, the Board of Directors of Simtronics ASA proposes to the Extraordinary General Meeting on May 4th (the “EGM”) to elect two new board members provided that the private placement directed at Technor AS in connection with the acquisition of the fire and safety division of Technor AS is resolved at the EGM and the election will be conditional on closing of the transaction.

The Board has nominated Margrethe Hauge, Executive Vice President Services in TTS Marine, and Atle Eide, Sr.Partner in Hitec Vision, as additional board members making a total of 5 members elected by the shareholders. Both candidates will be further introduced at the meeting. In case the private placement directed at Technor is not resolved at the EGM, the Board proposes no changes to be made in the current Board.
