Veg of Lund AB (publ) carries out two directed issues of shares following conversion requests from two bridge facility lenders

The board of directors in Veg of Lund AB (publ) (“Veg of Lund” or the “Company”) has today resolved to carry out two directed issues of a total of 78,080 shares to two lenders following conversion requests in line with the conversion rights stated in the bridge facility agreement that has been further described in a press release published on 17 February 2021.

Veg of Lund entered on 17 February 2021 into a bridge facility agreement with several lenders, something that has been further described in a press release published on the same day. Two lenders, Jan Erik Olsson and Thomas Holmgren, have in line with the agreement requested that Veg of Lund repay their respective outstanding debt and accrued interest, amounting to SEK 762,945.21 for Jan Erik Olsson and SEK 1,527,945.21 for Thomas Holmgren, with shares. Veg of Lund has on account of this resolved on two directed issues of shares to the lenders. The price per share in the directed issue to Jan Erik Olsson amounts to SEK 33.91 and the price per share in the directed issue to Thomas Holmgren amounts to SEK 27.49. The price per share in both issues includes a discount of 7.5 per cent compared to a volume weighted average price for the Company’s share immediately before each lender’s conversion request.

As a result of the issues the number of shares in the Company increases by 78,080 and the share capital increases by SEK 4,997.12. The increased number of shares and share capital generates a total dilution effect of 0.64 percent. Following the share issues the number of shares in Veg of Lund amounts to 12,224,336 and the share capital amounts to SEK 782,357.50.
