Exercise of employee share options in Atea ASA ("the Company")

1. Employees in the Atea Group have exercised 320,500 options. Following the share option exercise the Board of Directors, pursuant to authorisation granted by the Company's Annual General Meeting, has decided to increase the Company's share capital by NOK 320,500 by issuing 320,500 new shares, of par value NOK 1.

Following the increase, the Company's share capital is NOK 106,495,014 divided into 106,495,014 shares. The weighted average option exercise price is NOK 38.47.

2. Options exercised by primary insiders 28 April 2017:
Steinar Sønsteby has exercised 220,000 options in the Company, corresponding to 220,000 shares at the strike price of NOK 35.25.
Robert Giori has exercised 50,000 options in the Company, corresponding to 50,000 shares at the strike price of NOK 49.75.

3. Transfer of right
On 28 April 2017, the primary insiders Steinar Sønsteby transferred the rights to receive shares resulting from the exercise of options to a third party. The sales amount will be finally determined on the basis of the price subsequently obtained by the third party when selling the shares in the market.

Still, primary insiders cannot be held liable for losses incurred by the third party if the shares are later sold below the strike price.

Final compensation for the transferred rights will be reported to Oslo Stock Exchange, when known.

4. New holding
After exercising options, Steinar Sønsteby and close associates holds 830,000 options and  2,000 shares in the Company.
After exercising options, Robert Giori and close associates holds 176,667 options and 12,000 shares in the Company.
