Camanio Care AB (publ) issues free warrants to all shareholders
Care Camanio Care AB has signed an agreement relating to an investment of up to SEK 20 million. In connection with the Agreement, Camanio Care will also issue free warrants to existing shareholders, to protect them against equity dilution (the “Shareholders Warrants”).
The agreement and it’s terms was communicated in a press message on December 6th. The first Tranche is a private placement of SEK 4 million launched under the agreement.
For the first Tranche, one (1) warrant will be allocated for every seventeenth (17) shares that is held at the closing of stock exchange on Dec 22nd 2017.
Last day for trade in Camanio Care share including the right to receive Shareholder warrants is December 20th 2017.
Allocation of the shareholders warrants will take place on Dec 28th 2017 through EuroClear that manages Camanio Cares share register.
The Warrants have a maturity of three (3) years from Dec.13th 2017, when the registration was completed at the Swedish Companies Registration Office (Bolagsverket).
The Shareholders Warrants will have the same characteristics as those of the Investor will together be admitted to trading on AktieTorget.
In the specific case of the first Tranche, the strike price will be SEK 3.20. Under this first Tranche, there are 625,000 Warrants issued to the Investor and 907,770 Shareholders’ Warrants.
Subscription and Exercising the Shareholders’ Warrants:
Subscription of new shares by exercising the warrants of a collected value of 500 000 SEK or more can take place at any time during the maturity period (eg any day during the 3-year period).
Subscription of new shares by exercising the warrants of a collected value of 500 000 SEK or less can only take place at six occasions during the two-week period before 6, 12, 18, 24, 30 or 36 months (each month is calculated as four (4) weeks) after Dec.13th 2017 den 13 december 2017 when the registration was completed at the Swedish Companies Registration Office (Bolagsverket).
The first of these six occasions takes place during May 16th 2018 until May 30th 2018.
