Accelerated bookbuild offering of up to 80,911,428 existing shares in Dometic

Frostbite I S.à r.l. (1)  (the “Seller”) hereby announces the launch of an accelerated bookbuild offering to institutional investors (the “Transaction”) of up to 80,911,428 existing shares in Dometic Group AB (publ) (the “Company” or “Dometic”), equivalent to up to 27.35% of the share capital and voting rights in the Company, held by the Seller. Carnegie Investment Bank AB, Jefferies International Limited and UBS Limited (the “Managers”) are acting as Joint Bookrunners in the Transaction.  

The bookbuilding will commence immediately and it is anticipated that books will close before the market opens on 22 November 2016, although the Managers reserve the right to close the books at any time. A further announcement will be made following completion of the bookbuilding and pricing of the Transaction.

Lazard & Co., Limited (“Lazard”) is acting as financial adviser to the Seller in connection with the Transaction.

Assuming all the shares available in the Transaction are sold, following the Transaction, Frostbite I S.à r.l. will no longer hold any shares in Dometic .

Dometic will not receive any proceeds from the Transaction.
