Demeter Finance adjusts timetable for its public cash offer to the shareholders of DDM Holding

On 17 December 2018, Demeter Finance S.à r.l. (”Demeter Finance”) announced a public cash offer to the shareholders of DDM Holding AG (”DDM Holding”) to acquire all outstanding shares in DDM Holding at a price of SEK 40.00 per share subject to certain completion conditions.

The indicative timetable is adjusted as follows:

On or around 4 February 2019[1] Announcement of Offer Document
Around 5 February 2019 – 12 April 2019 Acceptance period
On or around 23 April 2019 Commencement of settlement

Demeter Finance reserves the right to extend the acceptance period following the acceptance period, as well as to postpone the settlement date. Any extensions of the acceptance period or postponements of the settlement date will be announced by a press release in accordance with the Takeover Rules (see definition below), applicable laws and other regulations.

[1] In a statement dated 28 January 2019 (AMN 2019:05), the Swedish Securities Council has granted an extension of the last date for publication of the offer document from six to seven weeks, which means that publication must be made no later than 4 February 2019.
