EQT Real Estate, through Chicago Holding, closes the acquisitions of the shares under the share purchase agreements and will exercise the call option

On 27 November 2018 EQT Real Estate II[1] ("EQT Real Estate"), through Chicago Holding AB[2] ("Chicago Holding"), announced a public cash offer to the shareholders of Stendörren Fastigheter AB (publ) ("Stendörren") to tender all their shares in Stendörren to Chicago Holding (the "Offer") at a price of SEK 100.25 per share[3] (the "Offer Price").

On 10 December 2018, Chicago Holding announced that all necessary regulatory clearances for closing of the transactions concluded with Kvalitena AB (publ) ("Kvalitena"), Förvaltningsaktiebolaget Hummelbosholm, Knut Pousette, Hans Lycketorp and Seth Lieberman to acquire in aggregate 7,356,773 shares in Stendörren, representing 26.13 per cent of the total number of shares and 50.06 per cent of the total number of voting rights in Stendörren, have been obtained and that closing was expected to occur no later than on 14 December 2018.

In accordance with previous announcements it is confirmed that closing of the transactions occurred on 14 December 2018.

As previously announced, Kvalitena has, in addition to the aforementioned shares, issued a call option to Chicago Holding covering 500,000 Class B-shares in Stendörren, representing 1.78 per cent of the total number of shares and 0.99 per cent of the total number of voting rights in Stendörren. The call option was conditional in such a way that it could only be exercised by Chicago Holding if the total number of shares held by Chicago Holding, following the completion of the Offer, represented less than 51 per cent of the total number of voting rights in Stendörren.

Kvalitena has now chosen to withdraw the only condition of the call option. Chicago Holding will exercise the call option and closing is expected to occur no later than on 18 December 2018.
