Summons to the Annual General Meeting of shareholders in MQ Holding AB (publ)
The Annual General Meeting of MQ Holding AB (publ) is scheduled for Tuesday 31 January, 2012, at 2 pm at the company’s office, address Sankt Eriksgatan 5, Gothenburg. The entrance will open at 1.30 pm. Notice of attendance to the Annual General Meeting shall be made no later than Wednesday 25 January, 2012, at 4 pm.
Notification of attendance at the annual general meeting can be made by post to MQ Holding AB (publ), Box 119 19, 404 39 Gothenburg, by telephone +46-(0)31-3888015, by fax +46-(0)31-3888001 or by e-mail at . Name/business name, personal identification number/company registration number, address and telephone number must be stated in the notification as well as advisors, if any. The company provides a proxy form on www.mq.se for shareholders wishing to be represented by proxy.
Shareholders who own shares through a nominee must temporarily register such nominee shares in their own name in order to be entitled to participate in the Annual General Meeting. This registration must have been carried out by Euroclear Sweden AB no later than Wednesday 25 January, 2012. Shareholders must instruct their nominees to effect such registrations well in advance of this date.
At the Annual General Meeting the following proposals, inter alia, will be made:
The board of directors proposes a distribution of SEK 1.10 per share and Friday 3 February, 2012, as the record day for distribution.
The Election Committee proposes that the number of members of the board of directors should be six. Erik Olsson, Göran Barsby, Eva Redhe Ridderstad and Thomas Nyberg should be re-elected as members of the board of directors (Christel Kinning and Jonas Lagerstedt have declined re-election). In addition to this, Bengt Jaller and Christina Ståhl should be elected as members of the board of directors. Erik Olsson should be re-elected as chairman of the board of directors. The remuneration to the members of the board of directors should be SEK 1,400,000, out of which SEK 400,000 should be allocated to the chairman of the board of directors and SEK 200,000 to each of the other members of the board of directors. Remuneration for committee work should be SEK 15,000 for each day of meeting.
