    Amendment of terms of directed set-off issue of shares to Recall Capital Nordic AB

    OmniCar Holding AB (the "Company" or "OmniCar") announced on 4 September 2023 that it had resolved to issue 1,728,000 shares to Recall Capital Nordic AB (the "Investor") at a price of approximately SEK 2.50 per share (the "Set-off Issue") in order to settle the full amount due to the Investor of SEK 4,313,000 under an existing loan agreement (the “Loan Agreement” or the “Financial Instrument”). To correct the result of a miscommunication between OmniCar and the Investor, the parties have today agreed to amend the terms of the Set-off Issue to reflect the terms of the Loan Agreement.
