Termination of employee representation on Board of Directors

Pursuant to Norwegian law, employees will be entitled to representation at board level in a public limited company if the number of employees is​ ​more than 30. For the purpose of calculating the number of employees, Opera Software ASA ("Opera" or the "Company") has historically consolidated all employees of the whole group, thus creating a so-called employee consolidation scheme. 

After the sale of the consumer business as announced on 4 November 2016, the number of employees in the Opera group's Norwegian entities is less than 30. By a vote held among all existing employees of the Opera group, more than 2/3 of the votes cast have voted in favor of terminating the current employee consolidation scheme. Consequently, the scheme will be terminated and, upon expiry of the service period for existing employee representatives at the Company board in May 2017, there will be no employee representatives at the Board of the Company or any other entity within the Opera group.
