Resolutions at the Annual General Meeting 2013

At the Annual General Meeting of RaySearch Laboratories AB (publ) held on 22 May, 2013, the following resolutions were adopted:

It was resolved that no dividends be paid out to the shareholders since the company is in a phase of rapid expansion that requires capital. The accumulated profit of SEK 34,629,000 was brought forward and balanced in the new accounts.

It was resolved to approve discharge from personal liability for the members of the Board and the President.

It was resolved that the guidelines for remuneration to senior executives adopted at the Annual General Meeting 2012 continue to apply for the period until the close of the Annual General Meeting 2014.

It was resolved that remuneration to Board members who do not receive a salary from any Group company, total SEK 710,000 for the period extending to the close of the next Annual General Meeting, of which SEK 420,000 will be paid to the Chairman and SEK 145,000 to each of the Board members elected by the Annual General Meeting, who does not receive a salary from any Group company.

It was resolved that the Auditors’ fees be paid in accordance with current approved invoicing.

It was resolved to re-elect Carl Filip Bergendal, Erik Hedlund, Johan Löf and Hans Wigzell as Board members of the company and to re-elect Erik Hedlund as Chairman of the Board

It was resolved to appoint the auditing firm Ernst & Young as auditors, with the authorized public accountant Per Hedström as auditor in charge.
