Stora Enso’s Shareholders’ Nomination Board appointed

Stora Enso’s Annual General Meeting (AGM) on 28 April 2016 decided to appoint a Shareholders’ Nomination Board to exist until otherwise decided and to yearly prepare proposals concerning
a) the number of members of the Board of Directors,
b) the members of the Board of Directors,
c) the remuneration for the Chairman, Vice Chairman and members of the Board of Directors and
d) the remuneration for the Chairman and members of the committees of the Board of Directors.

The Shareholders’ Nomination Board shall consist of four members: the Chairman of the Board of Directors, the Vice Chairman of the Board of Directors, and two other members appointed by the two largest shareholders (one each) as of 31 August each year.

According to the register of shareholders, Stora Enso’s two largest shareholders on 31 August 2016 were Solidium Oy and FAM AB.

Stora Enso’s Shareholders’ Nomination Board has been appointed. The composition of the Nomination Board is as follows: Gunnar Brock (Chairman of the Board of Directors of Stora Enso), Jorma Eloranta (Vice Chairman of the Board of Directors of Stora Enso), Kari Järvinen (Managing Director of Solidium Oy), and Marcus Wallenberg (Chairman of the Board of Directors of FAM AB). Kari Järvinen is the Chairman of the Shareholders’ Nomination Board.
