Lundbergs´ Annual General Meeting Lundbergs´ Annual General Meeting on Wednesday, March 28, 2001 adopted the Board of Directors´ proposal that a dividend of SEK 5.25 per share be paid for the 2000 fiscal year, which corresponds to an increase compared with the SEK 4.75 paid for the preceding year. The record date for dividends is April 2, 2001 and dividend payment will commence on April 5, 2001. Lennart Bylock, Fredrik Lundberg, Bengt Pettersson, Per Welin and Christer Zetterberg were re-elected to the Board. Ulf Lundahl, president of Danske Securities, and Sten Peterson, president of Byggnads AB Karlsson & Wingesjö, were elected new members of the Board. Mats Müllern declined re-election. In accordance with a proposal from the Board of Directors, the Board was authorized to make decisions regarding the repurchase of Series B shares in Lundbergs during the period up to the next Annual General Meeting. The purchases are to be made on the OM Stockholm Exchange and are subject to the limit that Lundbers´ holding may not exceed 10 percent of the total number of Company shares. The reason for the repurchases is to increase the Board´s freedom of action in efforts to generate shareholder value. At present the number of repurchased shares is 4, 900,300, corresponding to 7.2 percent of all of the shares in the Company. At the statutory Board meeting following the Annual General Meeting, Per Welin was re-elected Chairman of the Board and a decision was taken to utilize the authorization to repurchase shares in Lundbergs. Estimated net asses value per share on March 23, 2001 was SEK 232, compared with SEK 239 at year-end 2000. The corresponding figures after deferred tax were SEK 206 and SEK 205, respectively.
