Acando: Hedging concerning incentive programme

As a consequence of the implementation of Acando’s incentive programme the board of directors has resolved on a directed offer for the acquisition of shares of series C and on a conversion of shares of series C to shares of series B.

The board of dirctors of Acando AB decided yesterday, in accordance with an authorisation given by the extraordinary general meeting on 15 August 2007, on a directed offer for the acquisition of shares to the subscriber of shares of series C in Acando, i.e. Nordea Bank AB.

The offer is part of the implementation of Acando’s incentive programme and includes all 1,000,000 shares of series C which Acando has previously issued. The acquisition shall be made during the period 17 – 28 December 2007. Payment for acquired shares shall be made in cash with at a lowest price of SEK 1.250000013 and a highest price of SEK 1.35 per share, the price per share to be SEK 1.250000013 plus accrued interest, based on Stibor for the relevant period in question plus 2.00 percentage units calculated on a Actual/360 basis, for the period commencing on and including the day on which Nordea Bank AB has fulfilled payments in relation to the issue of shares of series C, preliminary on 7 December 2007, up to but excluding the day on which Acando has fulfilled payments in relation to this directed offer, preliminary on 20 December 2007. Based on current interest rates the price is expected to amount to approximately SEK 1.2534 per share. Currently Acando does not hold any own shares.

Nordea Bank AB has informed Acando that it intends to accept the offer.

Subsequently to all 1,000,000 shares of series C having been acquired the board of directors intends to convert them to shares of series B.
