Comment to statement by shareholders
The board of directors of Agrokultura (“the company”) has noted that two of the shareholders in the group of shareholders who in a letter dated 16 September 2013 requested that the company convene an extraordinary shareholders meeting, published a statement yesterday. Among other things it is argued in the statement that the assets of the company should be disposed of and the proceeds should be distributed to the shareholders.
This statement represents an addition to the reason to convene an EGM that was stated in the above mentioned letter, which has also been published by the company.
Since the general meeting in May, the board of directors has initiated a number of comprehensive activities in order to strengthen shareholder value in the company. As stated in the notice to the EGM which was published by the company yesterday, the boards’ report on its work during the period since the annual general meeting will be a separate agenda item at the EGM on 11 November.
In order to prepare proposals to the EGM, the company is convening a nomination committee according to the instruction for the nomination committee which was established by the general meeting. The nomination committee will consist of representatives appointed by the company’s four largest shareholders as well as the chairman of the board and will be based on the shareholding in the company as of 30 September 2013.
