The Election Committees’ recommendations to the AGM on 18 May 2011

The election committee has presented the following proposals for resolution relating to items 9-11 on the agenda of the AGM on 18 May 2011:

that the board of directors, for the time until the next annual general meeting, consist of six regular members and no deputies.

that the AGM re-elects Joakim Ollén (as chairman of the board), Sven Dahlin and Catharina Lagerstam.  In addition election is proposed of Simon Hallqvist, Fredrik Langenskiöld and Björn Lindström.

that the remuneration to the board of directors for the next mandate period amount to a maximum of SEK 850,000, of which SEK 250,000 to the chairman of the board and SEK 100,000 to each of the other directors with the exception of Björn Lindström, who will not receive any remuneration. SEK 200,000 is allocated for committee work.

Further, the election committee proposes to elect the auditing company Deloitte as auditor of the Group with the Chartered Accountant Peter Gustafsson as main responsible auditor. Remuneration to the auditor is proposed to be paid in accordance with approved invoice.

The Annual General Meeting takes place on Wednesday 18 May 2011 at 16.00 (CET) at the law firm Delphi, 30-32 Regeringsgatan, Stockholm.

Presentations of the proposed new candidates for the board of directors:

Simon Hallqvist, born 1967. Simon Hallqvist is chairman and partner at Preato Capital, a Helsinki-based Private Equity firm. He also works as a director at Sefina Finance AB. Simon Hallqvist has extensive experience from mergers and acquisitions as well as from long-term development of companies, both from an operational and from an ownership perspective. Simon Hallqvist owns about 5,0 million shares in Alpcot Agro.

Fredrik Langenskiöld, born 1954. Fredrik Langenskiöld has an extensive experience from the food processing industry, from agricultural management as well as business advisory in the CIS states. Among Fredrik Langenskiölds earlier assignments are Managing Director of Örnäs Produkter, later sold to Good Food AS, Senior Vice President of ABB Financial Services and Vice President of Marketing and Sales at Tetra Pak. Fredrik Langenskiöld currently does not hold any shares in Alpcot Agro.

Björn Lindström, born 1971. Björn Lindström is one of the founders of Alpcot Agro, and from September 2008 to March 2011 he worked as Managing Director of Alpcot Agro. Björn Lindström is also a co-founder of East Capital Asset Management AB and of Gustavia Capital Management AB. Björn Lindström owns about 3.2 million shares in Alpcot Agro.
