The rights offering in Alpcot Agro fully subscribed

The new share issue in Alpcot Agro AB (publ) (”Alpcot Agro”) with preferential right for the Company’s shareholders has been fully subscribed. The subscription period ended on 15 January 2010. In the rights offering 19,563,647 shares, corresponding to approximately 99.9 per cent of the shares, have been subscribed for by virtue of subscription rights. The subscription price was SEK 12.00 per new share and Alpcot Agro's shareholders were entitled to subscribe for 2 new shares for each 3 old shares held. The rights offering provides Alpcot Agro with proceeds of approximately SEK 235 million before transaction costs. The ordinary shares that have been subscribed for without subscription rights will be allocated according to the principles detailed in the prospectus published on 15 December 2009. Notice regarding allocation of shares subscribed for without subscription rights has been distributed to those who have received allotment. Pursuant to the rights offering, the total number of shares in Alpcot Agro will increase by 19,587,133 to 48,967,833 and the share capital will increase by SEK 97,935,665 to SEK 244,839,165. On 19 January 2010, Alpcot Agro announced that the company will issue 541,868 new shares as payment in connection to the acquisition of approximately 82.7 percent of the shares in BBAH Sweden AB (“BBAH”) and that Alpcot Agro has decided to extend the acceptance period with respect to the offer for all shares in BBAH. After this and the rights offering, the total number of shares in Alpcot Agro will amount to 49,509,701. As a consequence of the extended acceptance period with respect to the offer for all the shares in BBAH, further shares may be issued as payment following which the total number of shares will change accordingly. Last day for trading in the paid subscribed shares (BTA) were on 18 January 2010. BTA issued in connection with subscription by virtue of subscription rights are expected to be re-registered as ordinary shares with Euroclear Sweden AB on 26 January 2010.
