Aker ASA: Merger plan with Aker BioMarine approved by the Extraordinary General Meetings

Reference is made to the stock exchange announcement published by Aker ASA andAker BioMarine ASA on 8 October 2012 concerning board resolution of the mergerplan of a merger between Aker BioMarine ASA and Aker Seafoods Holding AS, awholly owned subsidiary of Aker ASA, where the consideration shares are to bedelivered by Aker ASA.

Aker BioMarine ASA and Aker Seafoods Holding AS today, on 9 November, heldextraordinary general meetings to address the merger proposal. The proposal wasapproved by both general meetings.

A two month creditor notification period will commence on the date ofregistration of the resolution of the general meetings in the Register ofBusiness Enterprises. Provided that all the conditions for the implementation ofthe proposal have been fulfilled, the merger is expected to be carried out inJanuary 2013. Aker BioMarine ASA will be dissolved upon completion of the mergerand consequently, the company's shares will no longer be listed on the OsloStock Exchange. Aker BioMarine ASA's shareholders will receive considerationshares in Aker ASA as settlement. Fractional consideration shares will not bedistributed, and thus, the shares will be rounded down to the nearest wholecontribution share for each shareholder. The difference will be settled in cashby Aker ASA. Shareholders who receive consideration shares in Aker ASA willreceive full shareholder rights from the time the merger is recorded ascompleted with the Register of Business Enterprises.
