Aker ASA: Primary Insider Notice
Reference is made to the issue of up to 2 310 189 new shares in Aker ASA (the "Company") in connection with the dividend payment (the "Dividend Issue"). The subscription price in the Dividend Issue is NOK 156.58 per share.
Additionally, the Company has carried out an employee share purchase programme. The subscription period for the programme ran from 21-27 May 2015. Employees in the Company were offered to buy Aker ASA shares at a 20 per cent discount on the closing price of the share on 27 May 2015. Hence, each participant paid NOK 128.80 per share. All shares will be locked for a period of three years from the date of delivery, during which employees will not be able to sell their shares.
The following overview shows the primary insiders that have subscribed for new shares in the Dividend Issue and/or purchased shares as part of the employee share purchase programme:
• The Resource Group TRG AS, owned by Kjell Inge Røkke, Chairman of the Board of the Company, and his wife Anne Grete Eidsvig, has subscribed for 27 476 new shares in the Dividend Issue. TRG Holding AS, controlled by The Resource Group TRG AS, has subscribed for 1 540 587 new shares in the Dividend Issue. Following the allocation and registration of the new shares in the Dividend Issue with the Norwegian Register of Business Enterprises (Nw. Foretaksregisteret), The Resource Group TRG AS will hold a total of 887 942 shares in the Company directly and 49 785 635 shares through TRG Holding AS. Accordingly, Kjell Inge Røkke and Anne Grete Eidsvig will control a total of 50 673 577 shares in the Company, through The Resource Group TRG AS and TRG Holding AS.
• Øyvind Eriksen, President and CEO of the Company, has subscribed for 3 193 new shares in the Dividend Issue through the company Erøy AS. Following completion of the Dividend Issue, Øyvind Eriksen will through Erøy AS hold a total of 103 193 shares in the Company. Erøy AS also owns 100 000 b-shares (0.2 per cent) in TRG Holding AS.
• Trond Brandsrud, CFO of the Company, has subscribed for 1 267 new shares in the Dividend Issue, of which 440 shares were subscribed for through Nordbrand Invest AS. Trond Brandsrud also purchased 5 500 shares through Nordbrand Invest AS as part of the employee share purchase programme. With the acquisition of shares through the employee programme, and following completion of the Dividend Issue, Trond Brandsrud will hold a total of 46 503 shares in the Company, of which 19 750 will be held through Nordbrand Invest AS.
• Finn Berg Jacobsen, Deputy Chairman of the Board of the Company, has through the company FBJ-Consulting AS subscribed for 159 new shares in the Dividend Issue. Following completion of the Dividend Issue, Finn Berg Jacobsen will through FBJ-Consulting AS hold a total of 5 159 shares in the Company.
• Leif O. Høegh, Director of the Board of the Company, has through the company Gadus SE subscribed for 957 new shares and through the company Aequitas AS subscribed for 3 352 new shares in the Dividend Issue. Following completion of the Dividend Issue, Leif O. Høegh will own a total of 139 309 shares in the Company, of which 30 957 through Gadus SE and 108 352 shares in the Company through Aequitas AS.
• Ola Snøve, Investment Director at the Company, has subscribed for 3 398 new shares in the Dividend Issue through the company Storbrea AS. Following completion of the Dividend Issue, Ola Snøve will through Storbrea AS hold a total of 109 837 shares in the Company.
• Audun Stensvold, Investment Director at the Company, has subscribed for 105 new shares in the Dividend Issue and purchased 1 070 shares as part of the employee share purchase programme. With the acquisition of shares through the employee programme, and following completion of the Dividend Issue, Audun Stensvold will hold a total of 4 469 shares in the Company.
• Atle Kigen, Head of Communications at the Company, has purchased 750 shares as part of the employee share purchase programme. With the acquisition of shares through the employee programme, Atle Kigen will hold a total of 6 026 shares in the Company.
• Arild Støren Frick, General Counsel at the Company, has subscribed for 51 new shares in the Dividend Issue and purchased 500 shares as part of the employee share purchase programme, both through the company Elichapet AS. With the acquisition of shares through the employee programme, and following the completion of the Dividend Issue, Arild Støren Frick will through Elichapet AS hold a total of 2 166 shares in the Company.
• Ove André Taklo, Corporate Controller at the Company, has subscribed for 34 new shares in the Dividend Issue and purchased 616 shares as part of the employee share purchase programme. With the acquisition of shares through the employee programme, and following the completion of the Dividend Issue, Ove André Taklo will hold a total of 1 716 shares in the Company.
• Marianne Stigset, Head of Investor Relations at the Company, has subscribed for 15 new shares in the Dividend Issue and purchased 85 shares as part of the employee share purchase programme. With the acquisition of shares through the employee programme, and following the completion of the Dividend Issue, Marianne Stigset will hold a total of 589 shares in the Company.
• Laila Hop, Paralegal at the Company, has subscribed for 3 new shares in the Dividend Issue. Following completion of the Dividend Issue, Laila Hop will hold a total of 127 shares in the Company.
• Bernt H. Kilnes, Deputy Employee Representative of the Board of the Company, has subscribed for 3 new shares in the Dividend Issue. Following completion of the Dividend Issue, Bernt H. Kilnes will hold a total of 107 shares in the Company.
Aker ASA sold a total of 11 339 own shares in connection with the share employee programme. Following the transaction, Aker ASA holds a total of 17 477 own shares.
