LANGØY BUYS TRG HOLDING SHARES

TRG Holding`s General Manager, Olav Revhaug, has purchased 46 667 Class B TRG Holding shares on the same terms as Mr. Langøy. Langøy and Revhaug have purchased the shares through their respective companies as investments. Their two share purchases amount to 33.3 percent of TRG Holding`s Class B stock.

Through his wholly owned company TRG AS, Kjell Inge Røkke owns all 50 million Class A shares and the remaining Class B shares of TRG Holding. Langøy and Revhaug were invited by Røkke to join him as TRG Holding investors via Class B share acquisitions.

Class B shares are entitled to dividend payments by TRG Holding, although only if such dividend payments exceed NOK 250 million; only Class A shareholders receive dividend disbursements below that amount. Any dividend payments exceeding NOK 304 million are distributed as follows: 85 percent to Class A shares and 15 percent to Class B shares.

The per-share price paid by Langøy and Revhaug for TRG Holding shares was determined following external valuations. The share price of listed Aker investments formed the basis for arriving at the value of TRG Holding.
