Aker Clean Hydrogen AS: Disclosure of large shareholding

Reference is made to the recently announced contemplated merger between Aker Clean Hydrogen AS (“ACH”), AH Seksten AS, a subsidiary of Aker Horizons ASA, and Aker Horizons ASA (the “Merger”). To facilitate the triangular Merger, Aker Horizons ASA will transfer all of its indirect shareholding in ACH from its subsidiary, Aker Horizons Holding AS, to AH Seksten AS, each at a price of NOK 4.6655 per share.

Following the transfer of the 531,280,000 shares held indirectly by Aker Horizons ASA, Aker Horizons Holding AS will no longer have any ownership interest in ACH, AH Seksten AS will own 531,280,000 shares in ACH, corresponding to an ownership interest of approximately 77.25% and Aker Horizons ASA’s indirect shareholding in ACH will accordingly remain unchanged.
