Fastator announces its intention to carry out a directed new issue of shares
AB Fastator (publ) (“Fastator” or the “Company”) today announces an intention to carry out a new share issue of approximately SEK 100 million directed to Swedish and international institutional investors. Fastator has engaged Pareto Securities AB (“Pareto Securities”) to explore the conditions for the new share issue through a so-called accelerated book-building procedure.

Fastator intends to carry out a new share issue of approximately SEK 100 million directed to Swedish and international institutional investors (the "Directed New Share Issue") based on the authorization to the Board of Directors, which was resolved upon by the Annual General Meeting on 6 May 2020. Fastator has engaged Pareto Securities to explore the conditions for carrying out the Directed New Share Issue through a so-called accelerated book-building procedure.
The subscription price and the total number of shares in the Directed New Share Issue will be determined through the accelerated book-building procedure, which will begin no earlier than 17:31 today 7 September 2020 and end before trading on Nasdaq First North Growth Market begins on 8 September 2020. The accelerated book-building procedure may, if the Company or Pareto Securities decides, be shortened or extended and may be terminated at any time, which means that the Company may refrain from carrying out the Directed New Share Issue.
The reason for the deviation from the shareholders' preferential rights is to broaden the ownership base in the Company among Swedish and international institutional investors and take the opportunity to raise capital on favorable terms in a time- and cost-effective manner. Furthermore, the Directed New Share Issue aims to support the portfolio companies' continued growth, where the majority will be used to accelerate the growth in the portfolio company Industrisamhället Fastigheter AB. The board of directors’ assessment is that the subscription price in the Directed New Share Issue will be set in accordance with market conditions, since it will be determined through an accelerated book-building procedure.
In connection with the Directed New Share Issue, the Company has undertaken, with customary exceptions, not to issue additional shares for a period of 180 calendar days from the announcement of the outcome of the Directed New Share Issue. In addition, shareholding board members[1] and persons from the Company’s management[2] have undertaken not to sell any shares in Fastator for a period of 90 calendar days from today, with customary exceptions.
The completion of the Directed New Share Issue is conditional upon that Fastator's Board of Directors, after the completion of the accelerated book-building procedure, decides to issue new shares based on the authorization from the Annual General Meeting on 6 May 2020.
