Composition of the shareholders´ nomination board of Fellow Finance Plc
The AGM 2019 decided to establish a permanent Shareholders' Nomination Board to prepare proposals to the Annual General Meeting, and, if necessary, to an Extraordinary General Meeting, for the election and remuneration of the members of the Board of Directors and to identify potential Board member candidates.
According to the decision of the AGM, the Shareholders' Nomination Board comprises one member appointed by each of the four largest shareholders of Fellow Finance Plc. The shareholders entitled to appoint a member are determined on the basis of the shareholders' register of the Company maintained by Euroclear Finland Ltd. on the first working day of September each year.
The following members have been appointed to Fellow Finance’ Shareholders Nomination Board:
- Karri Haaparinne, appointed by Taaleri Oyj 1 847 163 shares,
- Jyrki Vaittinen, appointed by Margin Investments Oy 836 721 shares,
- Sami Järveläinen, appointed by TN Ventures Oy 830 843 shares, and
- Ella Soldan, appointed by Oy T&T Nordcap Ab 656 436 shares.
In addition, Kai Myllyneva, the Chairman of the Board of Directors of Fellow Finance, serves as an expert in the Nomination Board without being a member.
The now appointed Nomination Board will forward its proposals for the 2020 Annual General Meeting to the Board of Directors by 31 January 2020 at the latest.
