Resolutions of the constitutive meeting of the Board of Directors of Fellow Bank

FELLOW BANK PLC STOCK EXCHANGE RELEASE 4.4.2022 AT 12:10 PM EET

The Board of Directors of Fellow Bank Plc ("Fellow Bank") held its constitutive meeting today on 4 April 2022. The members of the Board of Directors of Fellow Bank are Markku Pohjola (chairman), Teuvo Salminen, Lea Keinänen, Kai Myllyneva, Jorma Pirinen and Tero Weckroth.

Pursuant to the Board of Directors' assessment all members of the Board of Directors are independent of Fellow Bank and its significant shareholders, with the exception of Lea Keinänen, who is assessed not to be independent of Fellow Bank until 30 April 2022, and Teuvo Salminen, who is assessed not to be independent of Fellow Bank's major shareholder Evli Plc.

In its constitutive meeting, the Board of Directors resolved to change the name of the Remuneration Committee to the Personnel Committee and elected the members of the Audit Committee and the Personnel Committee.

Jorma Pirinen and Tero Weckroth were appointed as members of the Audit Committee and Teuvo Salminen was appointed as the Chair of the Audit Committee.

Lea Keinänen and Kai Myllyneva were appointed as members of the Personnel Committee and Markku Pohjola was appointed as the Chair of the Personnel Committee.

The Board of Directors appointed the following persons to the Management Team of Fellow Bank with immediate effect:

  • Teemu Nyholm, CEO;
  • Juha Saari, Director, Personal Customers, Deputy CEO;
  • Antoni Airikkala, Director, Deposit and Investor Customers;
  • Linda Magnusson, Director, Legal Affairs until 13 May 2022; and
  • Miikka Silvonen, Director, Business Customers.
